Terms of Service
By using SchemaSync you agree to these terms. We've written them to be straightforward — please read them.
Effective April 2025
The Service
SchemaSync provides content metadata validation, normalisation, and delivery package generation for media companies and distributors. The service accepts metadata slates (via file upload, API, email, or MCP), validates them against platform delivery specifications, and produces formatted output files.
Access to the service is provided on a tiered basis (Self-Serve, Configured, Enterprise). The features available to you depend on your tier as described on the Solutions page.
Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@schemasync.io if you believe your account has been compromised.
Each account is for a single organisation. You may not share credentials across organisations or use a single account on behalf of multiple unrelated entities without a written agreement.
Your Content
You own your content. The metadata slates, images, identifiers, and any other information you upload to SchemaSync remain your property. We do not claim any rights to your content.
By submitting content to SchemaSync, you grant us a limited, non-exclusive licence to process, store, and transform that content for the sole purpose of providing the service to you. This licence terminates when the run record is deleted.
You represent and warrant that you have the right to submit the content you upload, and that doing so does not violate any third-party rights, applicable law, or contractual obligation.
Acceptable Use
You may not use SchemaSync to:
- Submit content that infringes intellectual property rights or that you do not have authorisation to process.
- Attempt to probe, scan, or test the vulnerability of the system or circumvent any security or authentication measures.
- Use the service in a way that degrades performance for other users (e.g. automated bulk submissions beyond agreed API rate limits).
- Resell or sublicence access to the service without a written agreement.
- Use the service to generate outputs intended to deceive or defraud a platform partner.
We reserve the right to suspend or terminate access for violations of this section without prior notice.
Data and Privacy
Our collection and use of your data is described in the Privacy Policy, which is incorporated into these terms by reference. By using SchemaSync you agree to the Privacy Policy.
Uptime and Availability
SchemaSync is provided on a commercially reasonable basis. We do not guarantee continuous, uninterrupted access to the service. Scheduled maintenance will be communicated in advance where practicable.
Specific uptime commitments (SLAs) are available to Enterprise tier customers under a separate written agreement. Self-Serve and Configured tier customers do not have a contractual SLA.
Warranties and Disclaimers
SchemaSync is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that:
- Validation results are guaranteed to result in successful delivery to any platform partner. Platform delivery specifications change; we work to keep our schemas current but cannot guarantee real-time accuracy.
- The service will be error-free or that any particular output file will be accepted by a downstream platform.
- The service will meet your specific requirements or be fit for any particular purpose beyond those described in our documentation.
Limitation of Liability
To the maximum extent permitted by applicable law, SchemaSync and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to lost revenue, lost data, or delivery failures.
Our total liability for any claim arising out of or relating to these terms or the service will not exceed the fees paid by you in the twelve months preceding the claim, or £100, whichever is greater.
Termination
Either party may terminate access to the service at any time. You may stop using SchemaSync at any time. We may suspend or terminate your access if you breach these terms, with or without notice depending on the severity of the breach.
On termination, your run data will be deleted from our servers within 5 business days. You are responsible for downloading any delivery packages you need before termination.
Changes to These Terms
We may update these terms as the service evolves. When we make material changes, we will update the effective date and, where practicable, notify active users by email. Continued use of SchemaSync after updated terms are posted constitutes acceptance.
Questions about these terms should be directed to hello@schemasync.io. These terms are governed by English law.
